Did you put any thought into it, or did you just say shark as a knee-jerk reaction? Go to the site and look at the pictures, the shark flies via a jet pack, the croc via wings.

Crock wins because:

the shark can't breathe outside water
the shark's jet pack requires fuel

Two key weaknesses that will bring the shark down, literally.

The shark's only chance is in speed. If he can win the fight in under five minutes maybe he could have a chance. The Croc however is in for the long haul.
