What is hyperthreading? Does it make much of a difference in performance?

I think 2800+ has 333mhz fsb , correct me if i am wrong . So with that a ddr 333 it can work with fsb to ram 1 : 1 which is obviously one of the best combination to work with.
This is the amd thing . Whiz,decided the final specs ?

yeah, it is... 400mhz bus.... if you are lucky to find an AMD with 400mhz FSB, you would have an even faster PC you could also clock it

It might help if you told us what you will use your PC for. If you play games, then as a previous poster said, the graphics card is an important factor, as would be the memory speed. If you are going to use it only for downloading ringtones, then you shouldn't even be looking at such a high spec CPU.
Noise is another factor to take into consideration. AMD chips run hotter than Intel, and my graphics card has even greater cooling requirements. When I built my current PC a year ago, the cooling requirements were so high that the fans made it sound like Concorde taking off. Now, happily I have resolved those issues and it's as quiet as a slightly wheezy mouse.

Ddr400 is certainly faster , but i was saying that to run a amd 2800 in 1:1 with ram you need a 333mhz ddr .

Sorry Whiz, I missed that post in all the threadjacking earlier.
It seems you are not intending to be a power user. So, it really doesn't matter which of these CPUs you use. At least, not froma practical point of view. All else being equal, you really have to go for the AMD, becasue it is cheaper, and some would say it's also faster.
Now you need to consider your motherboard.
Which supplier do you use? Will you buy online? If so, can you point us to the supplier you would use?

Personally i'd go the AMD. They're just as well made if not better than the intels at any rate and definately better bang for buck.
Noise - If looking at the 64, they use the same sort of cooler setup that the P4 does, so they'll be on factor there. Large CPU block, usually smaller quiet(ish) fan. It depends if you want to get creative and swap out the CPU cooler for something with a speed control on it.
Ram - BIG factor, I would say make sure you look at 256 minimum. While you might not be power using whizz, Xp tends to like 512mb of ram to not use swap space (the harddrive for memory) so much, and you'll find that when you do want to use something big (say photoshop, or doom3 etc..) that your system will be able to do it with relative ease.
Motherboard - VIA or Nforce3, weigh them up. Personally the Gigabyte offering for the Amd 64 is great, but look around. Many boards offer things like onboard sound, lan, firewire etc which means that it will save you having to buy PCI cards and adding cost to the machine.
Probably best to try and set yourself some price limits on either a bundle or each component, then you could shop around and have peopel fight out the best deal for you.
After that graphics is your only other choice. If you find a nice nforce board with onboard then it'd suffice for most stuff, though I don't recall any of the nforce3 boards coming wiht onboard gfx. A middle range ati or nVidia shoudl do. If you can pick one up cheap, a second hand nVidia ti4200 ot 4600 performs nicely.
Whiz, are you canibolising an old system and just upgrading mobo, ram and CPU or looking at buying a system?
