Microsoft to Buy Nokia€s Devices for 5.44 Billion Euros

Microsoft Corp. (MSFT) will buy Nokia Oyj (NOK1V)’s handset business for 5.44 billion euros ($7.2 billion) as the Finnish company exits a business it once dominated and the maker of Windows moves into hardware to boost growth.

The deal includes paying 3.79 billion euros for the devices unit and 1.65 billion euros for patents, the companies said in a statement today. Nokia Chief Executive Officer Stephen Elop will step aside to return to Microsoft.

Microsoft has battled to stay relevant as consumers shift from using its core Windows software for personal computers toward mobile devices. Nokia is coping with cash-flow challenges stemming from weaker demand as its phones lose market share to handsets from Apple Inc. and manufacturers using Google Inc.’s Android operating system.

“Both Nokia and Microsoft really missed the boat in terms of smartphones, and it is extremely difficult to claw your way back from that,” said Paul Budde, a Sydney-based telecommunications consultant. “The question is whether combining two weak companies will get you a strong new competitor. It’s doubtful.”

Nokia reported in July a 27 percent drop in the number of handsets sold in the second quarter. It’s lost more than 5 billion euros in nine quarters.

Nokia had the largest share of the mobile phone handset market until it was overtaken by Samsung Electronics Co. (005930) in 2012, according to data compiled by Bloomberg.
32,000 Workers

Elop cut more than 20,000 jobs and suspended the company’s dividend in January in an attempt to improve its finances.

“Today marks a moment of reinvention,” Microsoft CEO Steve Ballmer and Elop said in joint blog post. “With the commitment and resources of Microsoft to take Nokia’s devices and services forward, we can now realize the full potential of the Windows ecosystem, providing the most compelling experiences for people at home, at work and everywhere in between.”

About 32,000 Nokia employees will transfer to Microsoft as a result of the deal, according to the statement. The devices and services business generated about 50 percent of Nokia’s net sales during 2012, worth an estimated 15 billion euros, the companies said.

“It’s a bold step into the future -- a win-win for employees, shareholders, and consumers of both companies,” Ballmer said in a statement. The deal will “accelerate Microsoft’s share and profits in phones,” he said.

Facebook Inc. (FB) and Google have also pushed ahead in social networking and online advertising, areas where Microsoft remains weak.

“After a thorough assessment of how to maximize shareholder value, including consideration of a variety of alternatives, we believe this transaction is the best path forward for Nokia and its shareholders,” Chairman Risto Siilasmaa said in a statement.

Siilasmaa will become interim CEO of Nokia.

Rubbish... Terrible News !

Literally it is the end of an empire !

I as ex - Nokia employee in Brazil,'m really bothered by this news, because it represents a point of no return !!!

Posted by daviep
Eldar murtizan from mobile review predicted this several years ago when the tie-in was first anounced.

Posted by Tsepz_GP
I was just thinking the same thing daviep! Eldar was on top of this long ago!

So I guess the trojan horse aka Elop did enough damage to make Nokia a juicy yet not too expensive package to buy, very sad.

What can Microsoft really do with Nokia though? Other than use their patents to bully Android OEMs, I can't see much else being done, also, what do other WP manufacturers think of this I wonder?

Posted by cu015170
The whole "deal" didn't make any sense from the start... this brings it full circle Congrats to Microsoft, they got an amazing deal with a brilliant business maneuver.

They brought Nokia's price lower than what they got Skype for in 2008

Posted by Bonovox
Microsoft are assholes. Nokia is trapped now. And a possible Elop as running Microsoft. There's another bad move

Yep. Only Asha and Lumia will be used, not Nokia.

Sad day. Now both Ericsson and Nokia are gone, and so are their patents...

But really, when they sold their HQ, we should have seen this coming

Posted by admad
Wow, Microsoft did a really good job at destroying the most powerful mobile phone company, to take down such a big company in just few years, well done...

Posted by hihihans
Guess this was my first and only Nokia WindowsPhone.

They can use the Nokia name on feature phones due to the 10-year licensing agreement:
but the "Nokia" mark will remain property of the Finnish company, and may only be used on feature phones under a 10-year license agreement.

So we will never see a Nokia Lumia again, not after Q1 2014 if the deal goes through.

Told you so.

The mission of Elop. I say we kill him.

Sad news indeed My first two phones are a nokia. I could never forget my 6230, it was the phone with the best keypad I had ever used and the most responsive during those s40 days.

Posted by razec
Nokia company still exist but can never use lumia/asha. I'm thinking that they wll still produce low end handsets like the 1200, which are mighty 3310's successors in fact Nokia is always my first choice for a second (lowend) device as they were the toughest I've known. plus that 2 week battery life which is a feat no smartphone can ever achieve.

What I didn't get is that is Nokia not allowed to produce any Smartphones that are not WP? like Android or Firefox? or Ubuntu?

Yep. You know what though? This just proves and reinforces just how ruthless Microsoft are, no shame in their game, they will do whatever it takes to get what they want. Well done to them, I must say, Google with the Motorola deal are looking like idiots right now compared to this.

Posted by Bonovox
I wonder if now original Nokia classic devices will now become collectors items and sell for big money?? Sad day but I wonder if Samsung seen this coming with their lacklustre willingness for WP. @Tsepz_GP I thought the deal had gone through?? I thought Nokia had accepted the deal?? This needs to be out to shareholders too

Bono

The deal still has to go through regulators and so on, it will only be finished in Q1 2014, if it doesn't go through then MS have to pay Nokia a $750million termination fee.

Posted by Bonovox
OK I see. The hotel I used to work in used to have Nokia TV sets in the bedrooms

Posted by randomuser
I guess it also means the death of pureview

Posted by razec
Pureview as well as Nokia's imaging fame died when Dinning left Nokia, while I agree that 1020 has one of the best smartphonecameras today, if we look at it on a different perspective it is nothing but a failed twin of the 808, and there were people who still sticks with their 808 as it would feel like they downgraded their camera if they went for 1020.

Dinning's best legacy were the N8 and 808 IMHO

A very sad goodbye.
Phones so brilliant.
Nokia, a company that good.
Well, nothing is for ever.

Posted by Bonovox
Didn't Nokia used to make trainers when they first started?? They started out as something completely different what I remember. As for Pure view didn't Nokia also sell their patents with this deal too??

Posted by alenn
I don't know but probably yes.
Who knows, maybe Microsoft sells back all this stuff when they realise they've done nothing with it.

Posted by cu015170
They didn't sell their patent portfolio, which is the most essential part... they are leasing it to MS for a certain amount of time. Considering that every Android OEM is paying Microsoft for every android device sold, this isn't good news.. Now that they have tons of new patents at their disposal, they can start asking for more.

But its only a matter of time before Microsoft buys that as well..

Microsoft is to many fields what EA is to games. Ea is where good games die.

Nokia is gone. I

hope Elop gets becomes the head of Microsoft. He'll destroy it. Good.

Yes if you take the E off Elop the word becomes Flop. Say no more

It is a jungle out there! The best cellphone maker (Ericsson) died a long time ago and now the second best is dead as well.

Congratulations to the Americans, they have completely taken over the world. Android and iOS are the front-runners and Windows is third. The next non-American manufacturer to fold is BlackBerry which leaves the Americans as the Kings of the mobile phone arena.

Sony did the same to Ericsson so it is the survival of the strongest... err, I mean wicked and unscrupulous

One thing for sure, I will not buy a Microsoft phone. Would've if it was still Nokia. Anyway, it was just a matter of tme before this happened, the parallels between Nokia and Ericsson/Sony Ericsson are astonishing.

Only if the Ubuntu Edge phone made it.

Posted by Bonovox
Most people in mobile phone stores ie the general consumer won't even give a Microsoft phone a look. They'll walk into a phone store and walk straight towards Samsung or Apple phones. When rumours were abound about Huawei wanting to buy Nokia maybe they knew something too. Imagine if Samsung had brought Nokia?? It's such a shame that most of the non far Eastern phone companies Nokia, Ericsson have died. Far eastern or Americans were always going to take over in the end.

I wonder what the other "oldie's" will do?
I mean, we saw the rise of /// to battle hard with Nokia.
Then Sony joined and it became from that moment i knew things would turn out bad for ///
And now with Nokia gone, it leave a hudge gap.

Right now i myself am looking at Jolla phones or even the Yota phone

Ericsson LM is STILL VERY alive today and works on its core business networks, switching, towers, and chips that assist these. Mobile phones was a hobby and a tie in to make more profits (it was not intended as a long term revenue stream).

Extremely Sad.The names most of us grew up with are dead.NOKIA,Ericsson,Motorola and even Alacatel to some extent...and even Sony Ericsson :-\\.
The pioneers are all long gone now

Aaa..the memories of Nokia vs Ericsson/SE...

I guess Microsoft timed this well,i just thought NOKIA was back on track, ive been seeing more Nokias/WP's recently, heck i have 2 of them at home now.If NOKIA could have stuck it longer i guess they could have got back on track..ah anyway

Posted by etaab
It was always going to happen as soon as Nokia appointed an ex Microsoft executive as their CEO. Then came the predictable choice of WP for their only smart devices. Now this ?

Trojan horse, conspiracy, whatever you want to call it, this confirms it imo. If I were Nokia shareholder, I would want to see every email, memo and communication ever sent to or from Elop to disprove the rumours.

Posted by Tsepz_GP
I remember the day I got my 1st Nokia smartphone, the N80, never in a millionaires did I think Nokia would be gone within a decade....actually I never thought I'd be using a full touch phone made by a South Korean company, running an OS built by what is ultimately the biggest marketing company disguised as a search engine 7years later, weird. Goes to show just how unpredictable this industry is, the greats have all fallen with the biggest one falling today.

This is all thanks to a phone that arrived in 2007 and totally flipped the script, incredible. Wonder who will bring the next major disruption and when it will happen, tomorrow? Next Tuesday? 2015? 2018?

Posted by Bonovox
I wouldn't say Motorola is dead they are still releasing devices under their name through Google. @Ranjith,Alcatel since when did anyone buy Alcatel phones?? And what happened to them were they brought out then?? They are now still releasing Android phones. My first ever phone was a Nokia in 1997 called the Nokia Ringo on Vodafone analogue service from the good old Tandy stores

@Bonovox i almost did buy an Alcatel once .Well it was one of the brands i did consider back in the T65 days ..they still make phones?
Oh well I forgot to add Siemens to the list!!!did consider an Alcatel against the SL55 back then!
i guess it was this one
Who is next?

APPLE?

Posted by Bonovox
Yes,Samsung to buy out Apple Alcatel are making some fairly decent mid range Android's recently but hey their French so forget that

I think you can blame me for killing Nokia.
All brands I used are gone.
I started with two Ericsson phones, switched to Siemens then bought some SonyEricsson phones. Now I have a Nokia.
So..... Which brand do you want to disappear next?

Posted by Tsepz_GP
Well the next iPhone is almost here Hans if you can sink them you'll be a god!

Posted by Bonovox
Sony brought by Samsung Joking. I used to love Siemens phones very reliable. Am actually glad and happy am back with Android cos I had become bored with WP anyway. And the OS was just not moving fast enough.

Get the note 3 and the next iPad. And are you sure you don't currently have a HTC as a back-up phone?

Very wise words.
It is quite unbeleivable, I just got my head around all this today.
Yet yesterday I couldn't even think what will be next Nokia's move.

Hans is not a Samsung fan

Posted by Miss UK
That's a sad day in the game for Nokia
I don't understand why they just stuck with
MS, why didn't they approach Android?!

I've got aload of old Nokia classics still
(Wonders if they will be worth anything if I keep
Hold of them lol)

Looks like Apple and Samsung are the Big boys in the
Market these days!!!!

Posted by G3ORGE
Bye, bye Nokia!

They were making a mistake after mistake, it had to end some time.

Nokia's height and peak was Nokia 808 PureView.

It was the last true Nokia phone. And the best cameraphone Nokia has ever made.

Posted by Bonovox
@Miss UK,Elop said the reasons they went with MS was because Nokia could not catch up with likes of Samsung in the crowded Android market. And they said it just wouldn't have worked. That was an interview I read with him

Posted by titus1
I didn't think Nokia peaked with PV808. It was with N-Series, alongside with the E. and their MusicExpress. We saw their decline even with the monstrous camera 808.
I could even say that N8 is more successful than PV808.
